Less than one week after Oroton announced a profit downgrade which sent the shares tumbling 10 per cent, the upmarket fashion retailer has announced the shock resignation of its long serving CEO Sally Macdonald and a reshuffle of its board. 

The company has also surprised investors with a new fashion joint venture with iconic US brand Brooks Brothers to help plug the earnings gap created by the loss of its flagship Ralph Lauren licence. 

Under the deal, Oroton will hold a majority 51 per cent in a joint venture company for an initial term of 10 years, with a five-year renewal option, with the first four to eight stores and possibly department store concessions to open at the beginning of 2014. 

But the new brand will not have the leadership of Ms Macdonald who will leave the retailer after seven years at the helm. 

Oroton announced to the Australian Securities Exchange this morning that Ms Macdonald would step down immediately but work through a brief transition period as the new CEO Mark Newman takes over. 

No explanation was given for her departure. 

Last week Oroton, which sells a portfolio of expensive handbags, shoes and clothing, said it was preparing its 2012-13 financial results and expected group earnings before interest and tax (EBIT) to be roughly $40 million. 

This result will include a $5 million one-off gain made from the loss of its licence agreement with fashion label Ralph Lauren, as its balance sheet and provisions were reassessed.Weddings Accessories consists of accessories for the bride, flower girls, bridesmaid and other items such as cake and performances of wedding.

Other board changes were also announced this morning. Oroton executive chairman Ross Lane will become a non-executive director, John Schmoll will become the new chairman and director Eddy Chieng has been appointed chairman of the audit committee. 

Meanwhile, the deal with Brooks Brothers will see Oroton expand the business in Australia where the US label already has sales of $1 million a year from its online store. Brooks Brothers has no bricks and mortar stores currently in Australia. 

Started in 1818, Brooks Brothers has an established reputation in its home market where it has been the clothier to 39 out of 44 US presidents as well as famous businessmen, politicians and recently supplied the majority of costumes for Baz Luhrmann’s film, ‘‘The Great Gatsby’’. 

Under the deal, Oroton will open as many as eight stores by next year with further stores to follow. The new joint venture between Oroton and Brooks Brothers is expected to generate $3 million in sales in fiscal 2014 rising to roughly $50 million in the fifth year of business.
